Terms of Service

1. Acceptance of Terms
By accessing or using the Optivor Agent Experience Management (AXM) platform — including the Optivor Gateway, the AXM Dashboard, and any related APIs or services — you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not access or use our services. These Terms apply to all users, including individuals and organizations.
2. Description of Service
Optivor provides an Agent Experience Management (AXM) platform designed to optimize how AI models and autonomous agents read, process, represent, and cite your brand. The Service includes, but is not limited to:
- Dynamic
llms.txtand machine-readable context file generation. - Structured content delivery via a CNAME-based edge Gateway (e.g.,
ai.yourdomain.com). - AI Agent Analytics: real-time traffic monitoring of LLM crawlers and AI assistants.
- Proprietary intelligence scoring: AI Accessibility Score (AIAS), Semantic Trust Matrix (STM), and Agent Latency Index (ALI).
3. DNS and CNAME Configuration Responsibility
To activate the Optivor Gateway, you are required to configure a CNAME record pointing a subdomain (e.g., ai.yourdomain.com) to Optivor's infrastructure. You retain sole responsibility for the ownership, accuracy, and ongoing maintenance of your DNS records. Optivor shall not be liable for any service disruption, data loss, or customer impact resulting from misconfigured, lapsed, or unauthorized DNS changes made outside of Optivor's systems.
4. Third-Party AI Model Disclaimer
Optivor optimizes the context and structure of your content for consumption by third-party large language models (LLMs), including but not limited to systems operated by OpenAI, Anthropic, Google, Meta, and Perplexity. However, Optivor does not control the generation logic, safety filters, or output policies of these models. We expressly disclaim all liability for:
- Hallucinations, omissions, misattributions, or factually inaccurate outputs produced by AI models, regardless of whether such models used data served through the Optivor Gateway.
- Changes to third-party AI model behavior, policies, or crawling practices that affect the quality or accuracy of generated outputs.
5. Prohibited Use
You agree not to use Optivor to process, distribute, or amplify content that is:
- Illegal, harmful, or in violation of any third-party intellectual property rights.
- Spam, misinformation, deceptive marketing, or content designed to manipulate AI outputs for malicious purposes.
- In violation of any third-party AI provider's published usage policies.
- Subject to export control regulations without appropriate authorization.
Violation of this section may result in immediate suspension or termination of your account and access to the Service, without refund of any prepaid fees.
6. Intellectual Property
All platform software, infrastructure, scoring algorithms (AIAS, STM, ALI), proprietary data models, visual assets, and documentation associated with Optivor are the exclusive intellectual property of Optivor Technologies Inc. and are protected by applicable copyright, trademark, and trade secret laws.
Your content remains your property. By submitting URLs or data to the platform, you grant Optivor a limited, non-exclusive, royalty-free license to process and deliver that content to AI agents solely as part of providing the Service to you.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Optivor, its directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or exemplary damages — including loss of revenue, business opportunity, data, reputation, or goodwill — arising from your use or inability to use the Service, even if advised of the possibility of such damages.
Optivor's total aggregate liability arising out of or related to these Terms shall not exceed the total fees paid by you in the three (3) calendar months immediately preceding the event giving rise to the claim.
8. Service Availability
Optivor is built on multi-region, edge-native infrastructure designed for high availability. However, we do not guarantee uninterrupted, error-free, or latency-free service. Scheduled maintenance windows, force majeure events, and upstream third-party dependencies (including cloud providers and AI model APIs) may affect availability. We will communicate planned downtime with at least 48 hours notice where operationally feasible.
9. Modifications to Terms
We reserve the right to modify these Terms at any time to reflect changes in our services, legal obligations, or business practices. For material changes, we will notify active customers via email at least 7 days in advance of the effective date. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
10. Governing Law & Disputes
These Terms are governed by and construed in accordance with applicable law. Any dispute arising under these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of a recognized arbitration body mutually agreed upon by both parties. Nothing in this section limits either party's right to seek injunctive or equitable relief.
